Job Description

  1. • Ensure statutory compliance under the Companies  Act- Records, E-filing requirements of Listed Company
  2. • Work with the senior management for good corporate governance.
  3. • Comply with Listing Agreement Requirements, submission of periodical Returns and all other applicable provisions of the Companies Act.
  4. • Finalize and review annual report for theCompany.
  5. • Draft notices and minutes for Board and General Meetings.
  6. • Handle work related to issue of share certificates, transfer of shares and issue of duplicate share certificates.
  7. • File various forms and returns with the Registrar ofCompanies.
  8. • Prepare and maintain statutory records and minutes books.
  9. • Conduct Board & General Meetings.
  10. • Correspondence with the Securities & Exchange Board of India, Stock Exchanges, Registrar and Depository Participants.
  11. • Drafting & Compiling of Notices, Annual Report, Directors Report, Resolutions & Minutes of AGM, Board Meetings and Committee Meetings; Drafting of Board resolutions to be passed by Circulation in terms of the applicable provisions of the Companies Act and ensuring its timely dispatch to the shareholders or Board Members as the case may be.
  12. • Provide the information to Auditors for the quarterly/ financial year end audit and also coordination with the Registrar & Share Transfer Agent of the Company from time to time.
  13. • Liaison with Stock Exchanges/NSDL/CDSL/Registrar of Companies/SEBI and other Statutory Authorities for their respective approvals, permissions, clarifications etc.
  14. • Quarterly Compliances under the clauses of Listing Agreement and SEBI Regulations covering Corporate Governance, disclosures to be made in Annual Report, Shareholding pattern, Financial Results etc
  15. • SEBI Takeover Code and Insider Trading Code compliances.
  16. • Should be able to handle Dividend and Rights Issue formalities, share certificate issue, transfer and allied matters& other Share Holder grievances.
  17. • Preparing/Vetting of legal documents as and when required.
